Terms of Service

Effective October 17, 2026. These terms are an agreement between you and Tekari LLC.

The short version

  • You let Spareband carry other businesses' web traffic over your home internet connection, within limits you set, and we pay you $0.20 for every GB carried, our launch rate.
  • You must be 18 or older, use your own home connection, and follow your internet provider's rules.
  • Websites will see your connection's IP address as the source of that traffic. Read what to know before you share.
  • Payouts go to PayPal once your balance reaches $5. You can pause, limit or stop sharing at any time.
  • Invite people with your referral link and earn an extra 10% of what they earn, paid by us. Follow the referral rules.
  • Disputes are settled by individual arbitration, not class actions, unless you opt out within 30 days or the law where you live says otherwise. See section 18.

This summary helps you read the terms; it doesn't replace them.

1. Who we are

Spareband is operated by Tekari LLC ("Spareband", "we", "us" or "our"). "You" means the person who creates a Spareband account. You can reach us at hello@spareband.com.

2. This agreement

These Terms of Service, together with our Privacy Policy, form the agreement between you and us for the Spareband website, dashboard, app and service (together, the "Service"). You accept them when you tick the box and create an account. If you don't agree, don't create an account or run the app.

Section 18 requires most disputes to be resolved by individual binding arbitration and waives class actions and jury trials, unless you opt out or the law where you live says otherwise. Please read it.

3. What Spareband does

Spareband pays you for the internet bandwidth your home connection isn't using.

  • You install the Spareband app on a computer that is connected to your home internet.
  • The app opens an encrypted, outgoing connection to Spareband's servers and keeps it open while it runs.
  • When one of our customers needs to load a website from your area, we send the request to your app. Your app connects out to that website, and the website's response travels back through Spareband to the customer.
  • Our customers are proxy providers, which resell the traffic to their own business customers. Typical uses are seeing websites the way a local visitor does: checking prices, ads and search results in different places. We list the providers we sell to on our website.

The app only makes outgoing connections. It never accepts connections from the internet, it refuses to connect to devices on your home network, and it doesn't read your files or your own browsing. How sharing stays safe explains the limits in detail.

During the invite-only test, the Service is a test version. Features, limits and availability may change, and the Service may be interrupted. What you earn during the test is still counted and paid as these terms describe.

By running the app with your account's device token, you give us permission to route our customers' internet traffic through your internet connection, within the limits you set in your dashboard, until you pause sharing, remove the device, stop the app or delete your account. You can withdraw this permission at any time by doing any of those things.

Spareband is a standalone app that you install yourself. We don't bundle it inside other software or offer it to other app makers. If you find Spareband running on a computer without the owner's knowledge, tell us at hello@spareband.com and we'll shut that device off.

5. Who can take part

To use the Service, you must:

  • be at least 18 years old and old enough to enter a binding contract where you live;
  • own the computer you install the app on, or have its owner's permission;
  • be the account holder of the home internet connection the app uses, or have the account holder's permission;
  • not be located in, or ordinarily resident in, a country or region subject to comprehensive United States sanctions, and not be named on, or owned or controlled by anyone named on, a United States or United Nations sanctions list;
  • be able to receive payments through PayPal where you live, if you want to be paid; and
  • not have had a Spareband account closed by us for breaking these terms.

While Spareband is invite-only, you also need an invite code. Each code works once.

6. Your account

  • Give us a real email address that you control, and keep it current. We use it to sign you in and to send you notices about the Service, these terms and your payouts.
  • Keep your password and your device tokens secret. You are responsible for activity on your account, unless it happened because of our own failure. Tell us straight away if you think someone else has used your account.
  • One account per person. Don't create accounts for other people, and don't sell, share or transfer your account.
  • You agree that we may send notices and other communications to you electronically, by email or in your dashboard, and that they count as "in writing".

7. Your internet provider

Your agreement with your internet provider may limit sharing your connection, reselling bandwidth or running server-like software, and it may cap or charge for the data you use. It is your responsibility to read your provider's terms and to use Spareband only in a way they allow. We are not responsible for fees, slowdowns, suspensions or other action your provider takes because you used Spareband. The caps and speed limit in your dashboard can help you stay within a data allowance.

8. What to know before you share

Sharing bandwidth has consequences you should understand before you start:

  • Your IP address is visible. Websites our customers visit see your connection's public IP address, and the approximate location that can be worked out from it, as the source of the traffic. They don't see your name, email or account.
  • Websites may treat your connection differently. Some websites may show you more security checks (such as CAPTCHAs), slow you down, or block your IP address, including when you browse them yourself.
  • You may be contacted about traffic. A website, your internet provider or an authority may ask about traffic that came from your IP address. If that happens, forward the request to us at hello@spareband.com. We keep connection records for 90 days so we can show that the traffic came through Spareband and trace it to the customer responsible, and we will help you respond.
  • Your resources are used. Sharing uses your connection's capacity, some of your computer's memory and processing, and electricity. Your own use comes first, but very heavy sharing can still be noticeable; use the speed limit if it is.
  • Earnings vary. How much traffic your connection carries depends on customer demand, your location and your settings. We can't promise any amount.

Don't use Spareband if you aren't comfortable with these consequences.

9. Earnings

  • Rate. You earn US$0.20 for every gigabyte of traffic your devices carry for our customers (our launch rate). Traffic carried before October 18, 2026 earned the rate in effect then, US$0.12 per gigabyte, and keeps it. A gigabyte is 1,000,000,000 bytes. We count the data our servers send to your device for a customer and the data your device sends back, as measured by our servers. Our measurements are the basis for earnings.
  • Your balance. Your dashboard shows what you've earned, what we've paid you and what we owe you (your balance). Earnings are calculated in US dollars and rounded to the nearest cent.
  • Rate changes. We may change the rate for traffic carried in the future. We'll email you at least 30 days before a lower rate takes effect. Traffic already carried keeps the rate it was earned at.
  • Corrections. If we find a measurement or calculation error, we'll correct your balance and tell you. If you think your earnings are wrong, write to us within 90 days of the month concerned; we'll look into it and tell you what we found.
  • Earnings that aren't payable. You don't earn anything for traffic that you or anyone acting with you caused, faked, inflated or routed in breach of section 14 (for example, sending traffic to yourself, or running the app on a server or VPN). We may remove such earnings from your balance, and if they were already paid, you must pay them back.
  • No other compensation. The rate is the full payment for your bandwidth and your participation. Earnings aren't wages, and you aren't our employee, agent or partner.

10. Payouts

  • When payouts open. During the invite-only test, earnings are counted but not yet paid out. When payouts open, we'll email you, and what you earned during the test is paid too.
  • Minimum and schedule. Once payouts are open, if your balance at the end of a calendar month is US$5.00 or more and you have given us a PayPal email address, we pay your whole balance to that PayPal account by the 15th of the following month. A balance under $5.00 rolls over to the next month.
  • PayPal. Payouts are made through PayPal in US dollars, and PayPal's own terms apply to your PayPal account. We pay the fee PayPal charges us to send a payout. Any fee PayPal charges you to receive, hold or convert it is yours. You're responsible for giving us the right PayPal email; a payout sent to the address you gave us counts as paid. If PayPal can't deliver a payout, or it isn't claimed, the amount goes back to your balance and we'll contact you.
  • Holds. We may delay a payout while we confirm your identity or tax details, investigate a suspected breach of these terms, or where the law requires. We'll tell you why unless the law prevents us.
  • If you delete your account. If your balance is $5.00 or more, we still pay it to the PayPal email you give us, on the normal schedule. A balance under $5.00 is not paid, except where the law requires otherwise.
  • If we end your account or close Spareband. If we close your account for a reason other than a breach of these terms, or we stop offering the Service, we'll pay your whole balance, even if it's under $5.00, to your PayPal email, as long as PayPal can deliver it.

11. Referrals

Every account has a personal referral link and code, shown in your dashboard. Use them to invite people to Spareband.

  • Who counts as referred. Someone is your referral if they join the waitlist through your link and later create an account, or enter your code when they sign up. A person can only be referred once, and the first referral we record is the one that counts. You can't add or change who referred you after your account is created.
  • What you earn. For each of your referrals, we add to your balance an amount equal to 10% of what that person earns for the traffic their devices carry (section 9). We pay this ourselves: it doesn't reduce your referral's earnings. Referral earnings are calculated when your referral's earnings are, and don't include their own referral earnings.
  • How long. You earn on a referral for as long as both your account and theirs stay open.
  • Payment. Referral earnings are part of your balance and are paid with it, on the schedule and with the $5.00 minimum in section 10.
  • What your referrals see. Your dashboard shows how many people you've referred and what you've earned from them. It never shows their email addresses or other details, and they don't see yours.
  • Changes. We may change the referral percentage, or end the referral program, for future earnings. We'll email you at least 30 days before a lower percentage, or the end of the program, takes effect. Referral earnings already added to your balance keep the percentage they were earned at.

Referral rules

When you share your link or code, you must:

  • say that you earn from it. If you promote Spareband in a post, video, review, website or message, clearly tell your audience that you get paid when people join through your link, in a way they'll notice before they click (for example, "I earn a commission if you sign up with my link"). This is required by advertising law, including the US Federal Trade Commission's Endorsement Guides.
  • be accurate. Don't promise or suggest that people will earn a particular amount, describe Spareband in a misleading way, or claim to speak for us. You may quote the rate and features we publish.
  • not spam. Don't send unsolicited bulk email or messages, post your link in comments or forums that don't allow it, or use bots or purchased lists.
  • not bid on our name. Don't buy search or social ads that target "Spareband" or misspellings of it, or use our name or logo in a domain name, account name or ad in a way that could make people think you are us.
  • not refer yourself. Don't refer yourself, a second account of your own, anyone who shares your home internet connection, or a fake or paid-for account.

You are responsible for how you promote your link. Referrers are independent: you aren't our agent, employee or partner, and you can't make promises or agreements for us. We may withhold or remove referral earnings connected to a breach of these rules or to fraud, including after they were added to your balance, and must be repaid any such earnings we already paid. We may also turn off your referral link if you break these rules.

12. Taxes

You're responsible for any taxes on what you earn. Where the law requires, we may ask you for tax information (for example, a US Form W-9 or W-8BEN) before paying you, report payments to tax authorities, and withhold tax from payouts. We may hold payouts until you give us information the law requires us to collect.

13. Your controls

For each device, in your dashboard, you can at any time:

  • pause sharing;
  • set the hours it may share;
  • set daily and monthly data caps;
  • set a speed limit; and
  • turn the device off or remove it.

Both the app and our servers apply these settings. Changes reach a connected app within about 15 seconds. You can also stop or uninstall the app, or delete your account from the Account page.

14. Rules

You must not:

  • run the app on a VPN, proxy, server, hosting or cloud provider, data-center connection, or any connection other than a home internet connection;
  • run more than one device per home internet connection;
  • run the app on a network you don't have the right to use for this purpose, such as an employer's, school's or public network, without written permission from its owner;
  • misstate your location, device or connection, or fake, inflate or manipulate traffic or measurements, including by sending traffic to yourself;
  • refer yourself, your own other accounts, or anyone who shares your home internet connection, or break the referral rules in section 11;
  • modify, tamper with or interfere with the app, our servers or other sharers, or try to get around our limits or security;
  • try to see, record or alter the traffic your device carries for customers;
  • use the Service in a way that breaks the law or anyone else's rights; or
  • help or allow anyone else to do any of these things.

We use automated checks to enforce some of these rules, for example by refusing devices that connect from hosting or VPN networks. If you think a check got it wrong, write to us and a person will review it.

15. Customers and abuse

We sell traffic only to business customers. We limit the ports and destinations the app will connect to, block connections into home networks, limit how much each customer can use, and keep a 90-day log of connections so abuse can be traced to the customer responsible. We may suspend or remove any customer who misuses the Service.

We don't control or review the content of each request a customer sends, and most traffic is encrypted between the customer and the website. If a third party makes a claim against you only because a customer's traffic passed through your connection while you followed these terms, tell us. We'll give you, or anyone you direct, the connection records that show the traffic came through Spareband and identify the provider responsible, as far as the law allows.

16. The app

  • Licence. While your account is open, we give you a personal, non-exclusive, non-transferable, revocable licence to install and run the app on computers you own or control, only to use the Service under these terms.
  • Restrictions. Don't copy, sell, lend or redistribute the app; don't decompile or reverse-engineer it except where the law allows that despite this restriction; and don't run a modified version.
  • Open-source parts. The app contains open-source components. Their own licences apply to them and override these terms where they conflict.
  • Updates. The app doesn't update itself. We'll tell you when a new version is available. We may stop accepting connections from old versions, for example to fix a security problem.
  • Ownership. We and our licensors own the Service, the app, the Spareband name and logo, and everything we make. These terms don't give you any rights in them beyond the licence above.
  • Feedback. If you send us ideas or suggestions, we may use them without paying you or owing you anything.

17. Ending the agreement

  • By you. You can stop at any time by deleting your account from the Account page. That signs you out everywhere, turns off all your devices and removes your email address, as our Privacy Policy describes. Section 10 explains what happens to your balance.
  • By us. We may suspend or close your account, or turn off any device, if you break these terms, if we reasonably suspect fraud or abuse, if we must to comply with the law or protect the Service or other people, or if your account has had no connected device for 12 months. Where we reasonably can, we'll tell you why and give you a chance to respond first.
  • Closing the Service. We may stop offering the Service. If we do, we'll give you at least 30 days' notice by email unless that isn't possible, and pay balances as section 10 describes.
  • What lasts. Sections 9 (for amounts already earned), 10, 11 (for referral earnings already earned), 12, 15, 16 (ownership and feedback), 17 and 18 to 23 continue after the agreement ends.

18. Disputes and arbitration

Please read this section carefully. It affects your legal rights, including your right to go to court and to bring or join a class action.

18.1 Talk to us first

Most problems can be solved by writing to us. Before starting arbitration or a court case, the party with a dispute must send the other a written notice describing it and the outcome wanted. Send yours to hello@spareband.com from your account email, with your name and the account email. We'll send ours to your account email. We both agree to try in good faith to resolve the dispute within 60 days after the notice arrives. Any deadline for bringing the claim is paused during those 60 days.

18.2 Arbitration

If we can't resolve it, you and we agree that any dispute, claim or controversy between us arising out of or relating to these terms, the Service or your use of it (a "Dispute") will be resolved by final and binding individual arbitration, except as section 18.4 says. This includes Disputes about whether a claim must be arbitrated, except that a court decides any question about the validity, scope or enforceability of section 18.5 (class action waiver) or section 18.7 (mass arbitration).

  • Rules. The American Arbitration Association ("AAA") will run the arbitration under its Consumer Arbitration Rules in force when it starts (adr.org), as changed by this section.
  • Arbitrator. A single neutral arbitrator decides. The arbitrator can award the same individual relief a court could, but only to you or us individually and only as far as needed for the individual claim.
  • Place. If you're in the United States, any in-person hearing happens in the county where you live, unless we both agree otherwise. Claims of US$25,000 or less are decided on written submissions unless the arbitrator decides a hearing is needed. Either of us can ask to take part by phone or video.
  • Costs. Your filing fee is no more than the fee to file in court where you live, and we pay the rest of the AAA's fees and the arbitrator's fees. Each side pays its own lawyers unless the law or the arbitrator's award says otherwise. We won't seek our lawyers' fees from you unless the arbitrator finds your claim was frivolous or brought for an improper purpose.
  • Law. The US Federal Arbitration Act governs this section.

18.3 Opting out

You can opt out of arbitration and the class action waiver within 30 days after you first accept these terms. Email hello@spareband.com from your account email with the subject "Arbitration opt-out" and your name. Opting out doesn't affect anything else in these terms. If you opt out, section 18.8 applies to Disputes instead.

18.4 What isn't arbitrated

  • Either of us may bring an individual claim in small claims court, if it qualifies and stays there.
  • Either of us may ask a court to stop the infringement or misuse of intellectual property rights.
  • Nothing here stops you from reporting a matter to a government agency.

18.5 No class actions

You and we may bring Disputes only individually, and not as a plaintiff or class member in any class, collective, consolidated or representative action. The arbitrator can't combine more than one person's claims or preside over any representative or class proceeding. If a court decides that this paragraph can't be enforced for a particular claim or remedy, that claim or remedy (and only that one) is decided in court under section 18.8, after the arbitration of everything else, and the rest of section 18 still applies.

18.6 No jury

Where a Dispute goes to court, you and we both give up the right to a jury trial, as far as the law allows.

18.7 Mass arbitration

If 25 or more similar demands for arbitration are filed against us, or by us, by or with the help of the same or coordinated lawyers or organisations, they are handled in batches of up to 25 demands, one batch at a time, with one arbitrator for each batch, and the AAA's mass arbitration rules and fees apply. Any deadline for bringing the claims that are waiting is paused until their batch starts. Both sides agree to cooperate so the batches are resolved as quickly and efficiently as possible.

18.8 Courts and governing law

These terms, and any Dispute, are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law rules, except that the Federal Arbitration Act governs section 18. Any Dispute not arbitrated must be brought only in the state or federal courts located in Wyoming, and you and we agree to those courts' jurisdiction, except that small claims may be brought where section 18.4 allows.

18.9 If you live outside the United States

If you live in the European Union, the United Kingdom, Switzerland, Australia, or another country whose law gives consumers protections that can't be removed by a contract, nothing in these terms takes those protections away from you. In particular, if your local law doesn't allow you to agree in advance to arbitration, to give up class or representative actions, or to have a foreign law or foreign courts govern your contract, then sections 18.2 to 18.7 don't apply to you, you can bring a Dispute in the courts where you live, and the mandatory consumer law of your country applies alongside Wyoming law. If you live in the European Union, you can also use the online dispute resolution options available to you there.

18.10 Changes to this section

If we change section 18 after you accept these terms, you can reject the change by emailing us within 30 days after it takes effect. The version you last accepted then continues to apply to Disputes between us.

19. Disclaimers

To the fullest extent the law allows, the Service and the app are provided "as is" and "as available". We make no promises or warranties, express or implied, including about merchantability, fitness for a particular purpose, non-infringement, uninterrupted or error-free operation, or any amount of traffic or earnings.

Some places don't allow these disclaimers, so some of them may not apply to you. This section doesn't affect our obligation to pay you what you have earned under these terms.

20. Limits on liability

To the fullest extent the law allows, we are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data or goodwill, arising out of or relating to these terms or the Service, even if we were told they were possible. Our total liability for all claims arising out of or relating to these terms or the Service is limited to the greater of US$100 or the total amount we paid or owe you under these terms in the 12 months before the event giving rise to the claim.

These limits don't apply to amounts you have earned and we haven't paid, and they don't limit liability for death or personal injury caused by negligence, for fraud, or for gross negligence or wilful misconduct, or any other liability that the law doesn't allow us to limit. If you live in the European Union or the United Kingdom, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these terms or failing to use reasonable care and skill.

21. Responsibility for your breaches

To the extent the law allows, you agree to cover our reasonable losses, costs and liabilities (including reasonable lawyers' fees) that result from a third-party claim caused by your breach of these terms, your breach of your internet provider's terms, or your breaking the law. This doesn't apply to claims caused by our own breach, negligence or misconduct, or to claims caused only by a customer's traffic while you followed these terms. We'll tell you promptly about any such claim and let you take part in the defence.

22. Changes

We may update these terms, for example when the Service, our customers or the law change. For a change that materially affects you, we'll email you at least 30 days before it takes effect (or sooner if the law or a security issue requires it) and show the new effective date here. If you keep using the Service after a change takes effect, the new terms apply. If you don't agree with a change, you can stop sharing and delete your account before it takes effect. A change never reduces what you've already earned. Section 18.10 explains changes to the arbitration section.

23. General terms

  • Whole agreement. These terms and the Privacy Policy are the whole agreement between you and us about the Service and replace any earlier understanding.
  • Severability. If a court or arbitrator finds any part of these terms unenforceable, it is changed only as much as needed to make it enforceable, and the rest stays in effect (except as section 18.5 says).
  • No waiver. If we don't enforce a part of these terms straight away, we can still enforce it later.
  • Transfer. You can't transfer these terms or your account. We may transfer them to a company that takes over the Service, or as part of a merger, sale or reorganisation; your rights under these terms continue.
  • Events outside our control. We aren't responsible for delays or failures caused by events we can't reasonably control, such as outages of internet, hosting or payment providers, natural disasters or government action.
  • Independent parties. Nothing in these terms creates an employment, partnership, agency or joint-venture relationship between you and us.
  • No third-party rights. Nobody other than you and us has rights under these terms.
  • Export and sanctions. You agree to follow the export control and sanctions laws that apply to you and to the Service.
  • Language. These terms are written in English. If we provide a translation, the English version controls where the law allows.
  • Notices. We send notices to your account email; they count as received when sent. Send notices to us at hello@spareband.com.
  • Headings. Headings and the summary at the top are for convenience and don't change the meaning of these terms.
